This website is operated by Echad & Co. Throughout this website, the terms “Echad,” “we,” “us,” and “our” refer to Echad & Co.

Echad & Co. provides this website, its content, features, tools, products, forms, and related services to you, conditioned upon your acceptance of these Terms of Service and the policies referenced within them.

Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer and sell our products and services.

By visiting our website, submitting a form, applying to our affiliate program, placing an order, or otherwise using our services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you should not use our website or services.

1. Eligibility and Account Information

By using our services, you represent that you are at least the age of majority in your state, province, or country of residence, or that you have permission from a parent or legal guardian.

You agree to provide accurate, current, and complete information when placing an order, requesting a quote, submitting an affiliate application, or creating an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account.

2. Echad NFC Cards

The Echad NFC Card is a physical card containing near-field communication technology. The card can be programmed to direct compatible devices to a customer-selected digital destination.

Compatible destinations may include websites, social media profiles, portfolios, menus, booking pages, contact pages, or other lawful web addresses.

NFC functionality depends on the receiving device, its settings, its hardware, its internet connection, and the continued availability of the selected destination. We do not guarantee compatibility with every device or operating system.

Unless otherwise stated, an Echad NFC Card does not include a recurring subscription or monthly fee.

3. Customer-Provided NFC Destinations

You are responsible for providing a complete, accurate, functional, and lawful web address for your NFC Card.

You represent that you have the right to use and distribute the destination you provide. You may not direct an Echad NFC Card to content that is unlawful, fraudulent, malicious, deceptive, infringing, harmful, or otherwise prohibited by these Terms.

We may refuse to program a card or suspend an order if the requested destination appears unsafe, unlawful, fraudulent, or unauthorized.

We are not responsible for third-party websites, deleted pages, changed usernames, expired domains, unavailable services, account suspensions, or other changes affecting a customer-selected destination after an order has been completed.

4. Product Appearance

We make reasonable efforts to display our products accurately. However, colors and product appearance may vary depending on your screen, lighting, device settings, production process, and materials.

Minor differences in color, placement, finish, texture, or print alignment that do not materially affect the card’s function are not necessarily considered defects.

Product descriptions, images, features, availability, and specifications may be updated without notice.

5. Custom Logo and Artwork Orders

Custom logo or artwork printing may be available for eligible bulk orders. Eligibility, pricing, production requirements, and turnaround time must be confirmed by Echad & Co. before production.

Submitting artwork does not guarantee that the artwork can be produced exactly as submitted.

We may request a different file type, higher-resolution artwork, adjusted colors, revised placement, or other corrections before approving production.

When a proof is provided, you are responsible for reviewing all spelling, colors, graphics, positioning, NFC destination information, and other details. Production may begin after you approve the proof.

Approval of a proof authorizes us to produce the cards according to that proof. Echad & Co. is not responsible for errors that appeared in a proof approved by the customer.

You represent that you own or have permission to use every logo, image, trademark, design, name, and other material you submit. You grant Echad & Co. a limited license to reproduce and modify those materials only as reasonably necessary to review, prepare, manufacture, and fulfill your order.

You agree to be responsible for claims arising from artwork or materials you submitted without proper authorization.

6. Orders

Submitting an order is an offer to purchase. We may accept, decline, place on hold, or cancel an order when reasonably necessary, including because of:

• Payment problems

• Suspected fraud or unauthorized activity

• Incorrect product or pricing information

• Inventory limitations

• Missing NFC destination information

• Unusable or unauthorized artwork

• Prohibited content

• Shipping restrictions

• Production limitations

An order is not finally accepted until payment has been authorized and we have confirmed the order.

Please review your order carefully before submitting it. Once programming, artwork preparation, printing, or production begins, we may be unable to cancel or change the order.

7. Bulk Orders and Quote Requests

Displayed bulk discounts apply only when the applicable quantity and product requirements are satisfied.

Unless otherwise stated, our standard bulk pricing structure is:

• 5 cards at 5% off

• 10 cards at 10% off

• 25 cards at 15% off

• 50 cards at 20% off

Orders of 51 or more cards require a custom quote.

A quote request is not an order, invoice, production authorization, or guarantee of pricing or delivery. Pricing and availability are not final until Echad & Co. provides written confirmation and any required payment has been received.

Bulk orders may include combinations of black and white cards when approved during the ordering or quoting process.

Customization fees, artwork preparation, individual packaging, expedited production, shipping, and other services may result in additional charges.

8. Prices, Discounts, and Payment

All prices are shown in the currency displayed at checkout.

Prices, discounts, promotions, product availability, and shipping charges may change without notice. The amount charged will be the amount displayed and accepted during checkout, subject to correction of obvious errors.

Taxes, shipping, customs duties, import charges, and other applicable fees may be added unless expressly included.

You agree to provide accurate payment and billing information and confirm that you are authorized to use the selected payment method.

Bulk discounts, affiliate discounts, promotional discounts, and other offers cannot be combined unless Echad & Co. expressly permits the combination.

Affiliate customer discounts apply only to eligible orders and products under the published affiliate program terms.

9. Shipping and Delivery

Processing and delivery dates are estimates unless Echad & Co. expressly provides a written guarantee.

Production may be delayed by missing information, artwork corrections, proof approval, inventory availability, payment review, carrier delays, severe weather, customs processing, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address. Additional shipping costs caused by an incorrect or incomplete address may be charged to the customer.

Tracking information may be provided when it becomes available.

10. Returns, Refunds, and Replacements

Returns, refunds, exchanges, cancellations, and replacements are governed by our Return and Refund Policy.

Standard, unused, and otherwise eligible products may be returned in accordance with that policy.

Customized, printed, personalized, programmed, or customer-approved products may not be returnable unless they arrive damaged, defective, or materially different from the approved order.

Customers should contact us promptly if an order arrives damaged, defective, incorrect, or incomplete.

11. Affiliate Program

Participation in the Echad Affiliate Program requires application and manual approval.

Submitting an affiliate application does not guarantee acceptance. We may approve, reject, suspend, or remove an affiliate when reasonably necessary to protect Echad & Co., its customers, or the integrity of the program.

Unless otherwise stated in the Affiliate Program terms:

• Eligible customers receive 5% off qualifying orders of one to four cards.

• Approved affiliates earn 10% of the discounted product subtotal on eligible attributable orders.

• Shipping and taxes are excluded from commission calculations.

• Attribution lasts 30 days after a qualifying referral click.

• Commissions remain pending for at least 30 days after purchase.

• Approved commissions are reviewed for monthly payment.

• The minimum payout is $25.

• Affiliate payouts require manual approval.

No commission is earned on refunded, canceled, charged-back, fraudulent, ineligible, or self-referred orders.

Affiliates may not make false or misleading claims, impersonate Echad & Co., send spam, use unauthorized paid advertising, bid on protected brand terms without written permission, or promote Echad through unlawful or deceptive methods.

The complete Affiliate Program terms and disclosures published on our Affiliate Program page are incorporated into these Terms.

12. Intellectual Property

The Echad & Co. name, logos, product designs, website design, text, graphics, photographs, videos, and other original content are owned by or licensed to Echad & Co. and are protected by applicable intellectual property laws.

You may use the website for lawful personal or business purchasing purposes. You may not copy, reproduce, republish, distribute, sell, modify, or commercially exploit our content without written permission.

Approved affiliates may use authorized promotional materials only in accordance with the Affiliate Program terms.

Shopify’s names, logos, products, and services remain the property of Shopify and its licensors.

13. Third-Party Services and Links

Our services may use or link to third-party platforms, including Shopify, payment processors, shipping carriers, email providers, form services, analytics services, social media platforms, and affiliate-tracking services.

Third-party products and websites are governed by their own terms and privacy policies. Echad & Co. does not control and is not responsible for the availability, content, security, or practices of independent third parties.

Your use of optional third-party services is at your own discretion and risk.

14. Relationship With Shopify

Echad & Co. is powered by Shopify, which enables us to provide our online store and related services.

Purchases made from our store are transactions directly between you and Echad & Co. Shopify is not the seller of the Echad NFC Card and is not responsible for the manufacture, programming, customization, fulfillment, or performance of products sold by Echad & Co.

15. Privacy

Personal information collected through our website and services is handled according to our Privacy Policy.

Because our store is hosted by Shopify, Shopify may collect and process information necessary to operate, secure, and improve the services it provides.

16. Feedback, Reviews, and Submissions

If you voluntarily submit a review, suggestion, testimonial, photograph, or other feedback, you confirm that you have the right to submit it and that it does not violate another person’s rights.

You grant Echad & Co. permission to use, reproduce, edit, publish, and display submitted feedback for operating, improving, and promoting our services, unless prohibited by law or otherwise agreed in writing.

We may remove content that is unlawful, threatening, deceptive, defamatory, infringing, obscene, malicious, or otherwise inappropriate.

Customer artwork submitted for production is governed separately by Section 5 and will not be used publicly for promotional purposes without permission.

17. Errors and Inaccuracies

Information on our website may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, discounts, availability, shipping charges, production timelines, or other details.

We reserve the right to correct errors, update information, or cancel an affected order when reasonably necessary. If we cancel a paid order because of our error, we will issue the applicable refund.

18. Prohibited Uses

You may not use our website, products, forms, affiliate program, or services:

• For unlawful, fraudulent, deceptive, or malicious activity

• To infringe intellectual property, privacy, publicity, or other rights

• To distribute malware, phishing links, or harmful code

• To harass, threaten, abuse, impersonate, or defame another person

• To submit false payment, identity, order, shipping, affiliate, or business information

• To interfere with the security or operation of our website

• To scrape, copy, or extract website content without authorization

• To create misleading associations with Echad & Co.

• To direct an NFC Card to illegal, malicious, deceptive, or unauthorized content

• To participate in affiliate fraud, self-referrals, spam, or unauthorized advertising

We may refuse service, cancel an order, remove an affiliate, or restrict access when we reasonably believe these Terms have been violated.

19. Termination

We may suspend or terminate access to our services when a user violates these Terms, engages in fraud, creates a security risk, abuses our systems, or participates in unlawful activity.

Termination does not eliminate payment obligations or liabilities that arose before termination.

Provisions that reasonably should survive termination, including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and governing law, will remain in effect.

20. Disclaimer of Warranties

To the fullest extent permitted by law, the website, its content, and our services are provided on an “as is” and “as available” basis.

Except for obligations that cannot legally be excluded, Echad & Co. does not guarantee that the website will always be available, uninterrupted, secure, or error-free.

We do not guarantee the continued availability of customer-selected websites or digital destinations, universal device compatibility, or uninterrupted operation of third-party services.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be limited or waived.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Echad & Co. and its owners, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, punitive, or consequential damages arising from your use of the website, products, or services.

This includes loss of profits, revenue, business opportunities, data, or access to a third-party digital destination.

Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by law.

Some jurisdictions do not permit certain exclusions or limitations, so parts of this section may not apply to you.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Echad & Co., Shopify, and their respective owners, employees, agents, contractors, licensors, and service providers from third-party claims arising from:

• Your violation of these Terms

• Your violation of applicable law

• Your infringement of another person’s rights

• Artwork, logos, destinations, or materials you submit without authorization

• Fraudulent, misleading, or unauthorized affiliate activity

This obligation does not apply to claims caused solely by the unlawful conduct or gross negligence of the party requesting indemnification.

23. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

24. Waiver and Entire Agreement

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, Affiliate Program terms, and other policies published on the website, form the agreement between you and Echad & Co. concerning your use of our services.

25. Assignment

You may not transfer your rights or obligations under these Terms without our written permission.

We may transfer our rights and obligations as part of a merger, acquisition, business transfer, restructuring, or similar transaction, subject to applicable law.

26. Governing Law

These Terms are governed by the laws of the State of New York and applicable federal laws of the United States, without regard to conflict-of-law rules.

Any dispute will be handled in a court with lawful jurisdiction unless applicable consumer law provides otherwise.

27. Changes to These Terms

We may update these Terms periodically to reflect changes to our products, services, operations, legal obligations, or business practices.

The updated version will be posted on this page with a revised “Last updated” date. Material changes will be communicated when required by law.

Your continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms.
